1. Introduction

These Terms of Service ("Terms") govern the use of services provided by Tek2Serve Ltd ("we", "us", "our"). By engaging our services, you agree to these Terms.

2. Services

Tek2Serve provides digital marketing and technology services including:

• Google Ads campaign management and optimisation
• Paid media strategy across multiple platforms
• Conversion tracking, attribution, and reporting
• Lead generation campaign management
• Workflow automation and process optimisation
• Data integration, ETL pipelines, and API development
• Custom reporting dashboards and analytics
• Infrastructure management and DevOps support

3. Client Obligations

Clients are responsible for:

• Providing accurate business and account information
• Ensuring their advertising complies with applicable laws and regulations
• Authorising Tek2Serve to manage their Google Ads accounts and related platforms
• Payment of agreed service fees and advertising spend
• Providing timely feedback and approvals where required

4. Data Protection

We process data in accordance with our Privacy Policy and applicable data protection legislation including UK GDPR. We act as a data processor on behalf of our clients where applicable and will enter into appropriate data processing agreements as required.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation survives the termination of services.

6. Limitation of Liability

To the maximum extent permitted by law, Tek2Serve shall not be liable for:

• Campaign performance or advertising results (which depend on many external factors including market conditions, competition, and platform algorithms)
• Advertising platform changes, outages, or policy changes
• Third-party service disruptions
• Indirect, consequential, or incidental damages

Our total liability shall not exceed the fees paid by the client in the 12 months preceding the claim.

7. Intellectual Property

All campaign strategies, automation workflows, custom integrations, reports, and materials created by Tek2Serve remain our intellectual property unless otherwise agreed in writing. Clients retain ownership of their own data, brand assets, and account credentials.

8. Payment Terms

Service fees are as agreed in the client's service agreement. Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest at 4% above the Bank of England base rate.

9. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination:

• We will provide access to all campaign data and transfer account ownership as required
• Outstanding invoices become immediately due
• Confidentiality obligations continue to apply
• We will securely delete or return client data within 30 days of termination

10. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, internet outages, platform changes, or government actions.

11. Amendments

We reserve the right to update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
